California and New York Ready to File WBD-Paramount Lawsuit for Broadcast
A major lawsuit is on the horizon as US states like California and New York gear up to challenge Paramount Skydance’s acquisition of Warner Bros Discovery (WBD). This $110 billion deal, which was reached after a turbulent six-month pursuit, has not been well-received by officials in these states. In fact, thousands of well-known talents in the entertainment industry, including JJ Abrams, Kristen Stewart, and Ben Stiller, have expressed concerns. They believe that this merger could jeopardize the livelihood of the entire creative community.
California and New York are not alone in this legal challenge – other states are expected to join them in the lawsuit in the coming weeks, as reported by Reuters. Rob Bonta, California’s attorney general, has been a vocal critic of the deal right from the start, promising a thorough review of the agreement made in February. Just last week, he criticized the country’s antitrust agencies for shirking their responsibilities regarding this deal. The US Department of Justice is also expected to make a decision on the matter soon.
Shares of both Paramount and WBD took a hit on Friday following news of the lawsuit, with Paramount seeing a 4% dip and WBD down by 3%. Paramount clinched the deal with WBD after a fierce competition with Netflix. As part of their enhanced offer, the US studio, led by David Ellison, included a ‘ticking fee’ clause. This means that HBO shareholders will receive approximately $650 million each quarter after September 30th until the acquisition is finalized.
Aside from facing scrutiny in the US, this acquisition is also under regulatory review in other countries, including the UK and the European Union. In the UK, this merger will bring the streaming services Paramount+ and HBO Max under the same ownership, along with UK broadcaster 5 and various production assets. The EU is closely examining the deal’s impact on creatives, with Paramount recently applying for EU approval.
