Netflix Drops Warner Bros Bid, Paramount Emerges as Winner with $140 Billion Deal

Netflix has decided to bow out of the intense bidding war for Warner Bros Discovery, leaving Paramount Skydance as the victor with a jaw-dropping $140 billion deal on the table. The road to this decision has been filled with twists and turns, but Netflix ultimately felt that the price tag required to match Paramount’s latest offer just didn’t make financial sense for them anymore. The news sent Netflix shares soaring in after-hours trading, while Warner Bros shares took a hit as investors shifted their expectations away from a bidding war.

This saga began back in December when Netflix initially inked an $82.7 billion deal to acquire Warner Bros’ studio and streaming businesses. However, Paramount Skydance stepped in with repeated counter-offers for the entire company, eventually swaying Warner Bros with a superior $31-a-share bid. Now, Warner Bros’ board needs to officially terminate the deal with Netflix and move forward with Paramount’s offer, which they believe will bring tremendous value to their shareholders.

If the deal goes through, it will merge two major Hollywood studios, two streaming platforms (HBO Max and Paramount+), and two news operations (CNN and CBS) under one roof. Paramount has sweetened the pot by offering to pay Netflix $2.8 billion for terminating their agreement, as well as an additional $7 billion to Warner Bros if the deal hits any regulatory roadblocks. And it’s not just smooth sailing ahead – Paramount’s bid is likely to face antitrust scrutiny from regulators in the US, Europe, and even states like California. Despite the Ellisons’ efforts to lobby regulators and politicians, including former President Donald Trump, the deal is not yet in the clear according to California Attorney-General Rob Bonta.

So, while Netflix may have stepped back from this high-stakes game, the battle for Warner Bros Discovery is far from over. With regulatory hurdles and political scrutiny looming on the horizon, it’s unclear what the final outcome will be. But one thing’s for sure – the entertainment industry will be watching closely as this drama unfolds.
