Warner Bros. Discovery: Paramount’s Latest Bid Could Outdo Netflix

Warner Bros. Discovery is currently considering a revamped offer from Paramount Skydance that may outshine a bid from Netflix in the ongoing battle to acquire one of Hollywood’s prized possessions. The board of Warner Bros. made it known that Paramount’s updated proposal could potentially lead to a ‘Company Superior Proposal’, potentially disrupting Netflix’s $82.7 billion deal. However, Warner Bros. Discovery has not yet decided to reject Netflix’s offer, indicating that negotiations with Paramount are still ongoing.

Paramount recently proposed to acquire all of Warner Bros. Discovery for $31 per share, with additional compensation if the deal falls through later this year, offering an increase from its previous offer of $30 per share. As part of this revised bid, Paramount also included a $7 billion termination fee if the deal faces regulatory hurdles, as well as a $2.8 billion fee to end Warner Bros.’ agreement with Netflix. While Warner Bros. acknowledged receiving Paramount’s new offer and is considering its specifics, they have not made a final decision.

Paramount, backed by Larry Ellison, was under pressure to enhance its bid by a deadline on Monday to secure the acquisition of Warner Bros. Discovery, the parent company of prominent entities such as CNN, HBO, and Warner Bros. movie and film studios. Netflix, the winning bidder of the auction, granted Warner Bros. Discovery a seven-day window to engage in further discussions with Paramount to potentially increase their offer, prompting Paramount to present the best possible bid as a final offer.

In the event that Warner Bros. Discovery decides to accept Paramount’s proposal, Netflix retains the right to match the offer. This development comes after Warner Bros.’s initial decision to sell assets including HBO and studio properties nearly three months ago. The situation is still unfolding, with Warner Bros. Discovery weighing its options and deliberating between the two competitive bids.
